Terms of Service

These Terms govern your use of BS9x (the "Service"), a software product operated by Vinn Inc., a Delaware corporation ("Vinn", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

1. The Service

BS9x extracts transactions from bank statement PDFs and reconciles them against accounting ledgers (Tally, QuickBooks, Xero, Zoho Books, or generic CSV). You upload files, BS9x processes them, and you download the results.

2. Your account

You create an account by signing in with Google. You're responsible for everything that happens under your account, including the actions of anyone you let use it. Keep your Google credentials secure; if you suspect they're compromised, sign out everywhere and reset them with Google immediately.

You must be at least 18 years old, and you must use BS9x for lawful business or professional purposes only.

3. Plans and billing

Free tier

You can use BS9x at no cost up to three statements and one reconciliation session per calendar month, on a non-commercial, evaluation basis. We may change free-tier limits with reasonable notice.

Paid plans

Paid plans (Solo, Firm, Firm Pro) are billed monthly in advance through Stripe. Plan limits apply per calendar month and reset on the first day of each month, not on your billing anniversary. By subscribing, you authorise Vinn to charge your payment method recurring fees until you cancel.

Cancellation and refunds

You can cancel any time from your dashboard. Cancellation takes effect at the end of your current billing period — you keep access until then. We don't refund unused portions of a billing period, except where required by law.

If we fail to deliver the Service for an extended period due to our fault, contact us at founder@vinn.ai and we'll work out a fair pro-rated credit.

Taxes

Prices shown are exclusive of any applicable taxes (sales tax, VAT, GST, etc.). You're responsible for paying any taxes due in your jurisdiction.

We may suspend or terminate accounts that violate these rules, with or without notice depending on severity.

5. Your data and content

You own your data. Bank statement PDFs, ledger files, extracted transactions, reconciliation results, notes — all of it remains yours.

You grant Vinn a non-exclusive, worldwide licence to host, process, and operate on your data solely for the purpose of providing the Service to you. This licence ends when you delete the data or close your account.

We also maintain a structural template cache that helps the Service recognise common bank statement layouts faster. As described in our Privacy Policy, the cache stores *layout structure* (column header words, column count, anchor-column name) — not your transaction values, account numbers, or narration text. You agree that we may use this anonymised structural information to improve extraction accuracy and performance for all users of the Service.

6. Confidentiality

We treat your uploaded files and extracted data as confidential. We won't disclose them to third parties except as described in the Privacy Policy, required by law, or with your written consent.

7. Service availability

We aim for high availability but don't promise a specific uptime for free or standard paid plans. We may take the Service offline for maintenance, upgrades, or to address security issues. For customers requiring a contractual SLA, contact us about a custom agreement.

8. Accuracy of extraction

BS9x uses pattern-matching and AI to extract data from PDFs. We aim for high accuracy but cannot guarantee that every transaction is captured correctly, especially for unusual bank statement formats. You are responsible for reviewing extracted data before relying on it for filings, audits, financial decisions, or any other consequential use.

9. Changes to the Service and these Terms

We're an early-stage product and the Service will evolve. We may add, change, or remove features. We may update these Terms; if a change is material, we'll post the new version at this URL and email active users at least 14 days before it takes effect.

10. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, except as required by applicable law.

To the maximum extent permitted by law:

You agree to defend and indemnify Vinn against claims arising out of (a) your violation of these Terms, (b) your violation of third-party rights including IP and privacy rights, or (c) your use of the Service in a way that breaches applicable law.

13. Termination

You can terminate by deleting your account at any time. We may terminate for cause (breach of these Terms) immediately, or for convenience with 30 days' notice. On termination, your access ends and we delete your data on the schedule in the Privacy Policy.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.

Any dispute arising out of or related to these Terms or the Service will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, held in Wilmington, Delaware, with the arbitration conducted in English. Judgment on the award may be entered in any court of competent jurisdiction. You and Vinn each waive any right to a jury trial or class action.

You can opt out of arbitration by emailing us at founder@vinn.ai within 30 days of first accepting these Terms with the subject "Arbitration opt-out."
